PDing Terms of Service

Welcome to PDing!

In summary, by using PDing, you agree to these Terms.

These Terms are the Terms of Use for PDing and apply to all users of the PDing platform. "We," "us," and "our" refer to PDing, LLC. "PDing" includes the PDing iOS app, PDing Android app, PDing API, PDing embeds, www.PD-ing.com, and other websites provided by us. By using PDing, you agree to these Terms, the Privacy Policy, Community Guidelines, and other policies posted by us. Please read them carefully and let us know if you have any questions. For more details about our data practices, see the Privacy Policy and Cookie Policy. We collect, use, and share information in accordance with these policies.

My Account

In summary: You must be at least 13 years old to use PDing. You are responsible for your account.

When you create an account, you must provide accurate and honest information, and you agree to keep this information up to date. To create an account or use PDing, you must be at least 13 years old and of the age to consent to the processing of personal data in your country (in some countries, consent from your parents or guardians may be required). Only those who are 13 years old or have permission from a parent or legal guardian can create a creator page on PDing or purchase goods and services on PDing. To subscribe to or purchase goods related to adult/18+ creators, you must be at least 18 years old. You are responsible for all activities that occur under your account and for keeping your account secure. If you believe your account has been compromised, please contact us(help@pd-ing.com) immediately. For more information on security, see our Security Policy.

Malicious Activities

In summary: take responsibility and do not violate the terms or policies.

You are responsible for all activities under your account. If you violate the Terms of Use or policies, we may terminate your account. Do not engage in illegal or abusive activities, misuse PDing in a technical way, or exploit PDing in harmful, unintended ways. Additionally, PDing users must agree to a Terms of Use (EULA), which has no tolerance for offensive content or abusive users. Creators generating revenue on PDing may expose us to risk depending on what they do with their funds. As a result, we may need to look into activities outside of PDing. For more details, check the Community Guidelines and Security Policy. While our Terms and policies cover most issues, we may take measures to prevent harm to PDing or the community from new and creative methods of damage.

Everything You Need to Be a Creator

In summary: A creator is someone who uses their created PDing page to communicate with buyers (fans) who purchase the creator's work. There are many details below related to payments, fees, taxes, and restrictions, so if you're a creator, you should read the entire content.

To become a creator, you simply need to set up your own PD page. By joining PDing, you become a part of the PDing community. You can use the creator tools provided by us to showcase your creative works, communicate with the PDing community, and offer services to your buyers (fans) through your products and services. Sponsorship is a service for the most passionate fans. PDing offers something exciting that provides special benefits that buyers (fans) desire, including additional access, merchandise, exclusive creative works, and an engaging community experience. In return for this, creators can receive loyal support from buyers (fans) and earn revenue from the products and services purchased by buyers (fans) on PDing.

Everything About Tree/Leaf

In Summary: Tree/Leaf are points that can be used for all services within PDing.

All fans and creators using PDing can engage in revenue-generating activities through Trees/Leaves. Fans can pay with Trees/Leaves to access the offerings and services of creators. Creators receive Trees/Leaves for the services provided to fans and can exchange the Trees they hold for cash based on their value.

Payments

Creators can offer goods, services, and one-time funding (sponsorships) on PDing in a pay-per-view (PPV) format. Additionally, where applicable, we can automatically increase the price of the products offered to you by considering fees imposed by the platform (e.g., app stores) where the related purchase was made, at our sole discretion and under your control.

We typically handle payment issues like fraud, chargebacks, and resolving payment disputes, but for purchases made through specific platforms (e.g., app stores), those platforms can handle these payment issues. We strive to timely disburse the funds you have earned on PDing depending on the selected level of PDing services. The timing of fund provision to you and the possibility of withholding the disbursement may vary depending on the platform (e.g., app stores) where the purchase was made and the level of PDing services. However, accessing these funds may sometimes be delayed.

Furthermore, we may block or hold access to these funds due to violating terms or policies, including for reasons of regulatory compliance, such as tax reporting and information collection. If this happens, we will make an effort to notify you promptly. If you have questions about the blocking or holding of funds, please contact us . For the protection of creators, we may block payments if they are deemed fraudulent by a buyer (fan). Activities such as refunds to buyers (fans) and chargebacks may result in a negative account balance, and fees incurred by PDing or the platform (e.g., app stores) where the purchase was made may not be refunded to you as described below. In case of a negative balance, we reserve the right to recover those funds from future payments.

To maintain a safe community for everyone, PDing requires all creators sharing sexually explicit content or nudity to agree to certain additional requirements. If you are an adult/18+ creator, you agree to verify your age through means requested by us, verify that each person appearing in the content is over 18, and obtain their written consent to participate in the content. A consent form template for this purpose is available in the Help Center, where you can also find additional information about these requirements. You agree to promptly provide proof of this age verification and consent if requested by us.

Fees

There are associated fees for goods and services offered on PDing by creators. These fees may increase after notifying you and vary depending on the selected level and type of PDing services (activity days on PDing, revenue, etc.):

  • Platform fees may include a flat fee or a percentage of successfully processed payments.

  • Feature-specific fees may arise from using certain PDing features and may include a flat fee or a percentage of successfully processed payments.

  • Payment processing fees are calculated as a percentage of successfully processed payments and a flat fee per successfully processed payment, related to the cost of handling customer payments, including recurring billing, recovery of declined payments, fraud prevention, etc.

  • Disbursement fees are the fees associated with transferring money earned on PDing to your designated payment method and can vary based on the chosen payment method.

  • Currency conversion fees are calculated as a percentage of successfully processed payments in a currency other than the disbursement currency.

You can check fees on the Creator Dashboard, but note that this dashboard does not display disbursement fees as described above. Also, as mentioned above, if you purchase points through a specific platform (e.g., app stores), that platform may charge a fee for that purchase.

If a customer makes a payment in a currency different from the currency associated with the payment method, the financial institution linked to that payment method may charge a foreign transaction fee for that payment.

Taxes

To comply with tax obligations, we collect taxpayer identification information and, in certain circumstances, report this information and income as legally required to tax authorities. For example, if you are a resident of or have earned more than $600 in the United States, PDing must issue a Form 1099-K at the end of the year. For the purpose of Form 1099-K, we treat all creator income as income from the sale of goods or services. You are responsible for reporting any income, withholding, or other income-based taxes due as a result of earnings on PDing.

We also have responsibilities for various transaction taxes worldwide. This includes Value Added Tax ("VAT"), Goods and Services Tax ("GST"), and other local services or sales taxes outside the United States (collectively, "VAT") and state sales taxes within the United States, but not limited to these. For how transaction taxes are handled, see the VAT Guide and other Help Center documents. In regions where we must collect taxes from customers, the custom payment amount and applicable tax will be included and processed on invoices presented to and from customers. You are responsible for using your best efforts and available tools to ensure all benefits are properly classified. You agree to provide accurate information when using the ratings, sales tax weighting tools, and generally. Once settlement is complete, taxes are automatically deducted and directly remitted to the relevant tax authorities. The amount to be paid under this agreement between the creator and PDing may include VAT or sales tax, where applicable. You agree to provide us with all information and documents necessary for accurate tax determination and compliance upon our request or otherwise.

Restrictions

In Summary: Tree/Leaf are points that can be used for all services within PDing.

Content and benefits that violate terms or policies are not allowed. For more details, see the Community Guidelines. Summarizing these rules:

  • No illegal content or benefits;

  • Do not provide content or benefits that are harmful to others;

  • Do not provide misleading or deceptive content or benefits;

  • Do not use someone else's intellectual property in content or benefits unless you have written permission or it is protected by fair use.

  • Do not provide content or benefits depicting real individuals engaging in sexual activity.

Please inform fans under the age of 18 that they need permission from a parent or legal guardian to purchase goods or membership subscriptions on PDing and are not allowed to use PDing. We are not obligated to allow certain individuals or groups to access offerings, become buyers (fans), or otherwise access PDing services.

Creators are also responsible for keeping buyer (fan) data secure. You agree to what is also known as the [Data Processing Agreement (DPA)]

Accounts are linked to the creator's work and cannot be sold or transferred for use by other creators.

PDing is constantly experimenting with product features to create a better product, and may add, remove, or test features with some creators. Access to these features is not guaranteed and may be outside your control. Instead, we may activate or deactivate these early access, beta, or test features at our discretion.

Everything About Being a Buyer (Fan)

In summary: A buyer (fan) is someone who supports a channel or purchases creative works from their favorite creators, receiving special benefits in return. By purchasing services from creators on PDing, buyers (fans) can access various services, communicate directly with creators, and have the opportunity to participate in the buyer (fan) and creator community.

Being a buyer (fan) means supporting a creator and receiving special benefits such as shoutouts, exclusive creative works, or merchandise. You pay a one-time fee as specified by the creator, with PDing being the billing party. If the primary payment method fails and you have configured one or more backup payment methods, the charge will be made to the backup payment method according to that configuration.

To become a buyer (fan), simply purchase a product on PDing. Subject to full payment of this agreement and all applicable charges, if your subscription or offering includes access to one or more creator's creative works, you receive a non-exclusive, non-transferable, non-sublicensable, and revocable limited license to access and view those creative works for personal, private, non-commercial, and non-commercial purposes. Creative works accessed in this manner can generally continue to be used but may become unavailable as described below at any time.

While PDing strives to filter out fraudulent creator pages, we cannot guarantee the identity or validity of claims by creators. Thank you for helping to keep the PDing community safe by reporting any suspicious creator pages.

If PDing is located in a jurisdiction where we must impose and collect taxes such as VAT or sales tax, this tax will be added to the total billing amount. Except in limited situations, this tax will be displayed when purchasing an offer or starting a paid subscription. PDing remits all collected taxes to the appropriate tax authorities. Taxes can vary greatly based on your location, so you agree to keep your location up to date for accurate tax collection.

Even if you make a payment in the currency associated with your payment method, the financial institution linked to that payment method may charge a foreign transaction fee for that payment if it is processed in a country different from the country associated with the payment method. We do not apply this fee, are unaware of its application, do not receive funds from it, but our choice of payment processing may influence or otherwise cause this fee to occur.

PDing continuously experiments with product features to create a better product and may add, remove, or test features for some buyers (fans). Access to these features is not guaranteed and may not be under your control. Instead, we may activate or deactivate these early access, beta, or test features at our discretion. Additional restrictions and limitations may apply to these features.

Refunds.

  • Refund Policy: The validity period of tree products is 1 year, and cancellation/refund is possible if unused within 2 days of first payment. For cancellation/refund requests, you may contact customer service (help@pd-ing.com). Our policy is not to provide refunds except as described above. Additionally, if you purchased from certain platforms (e.g. App Store), PDing may not be able to process your refund request and you may need to contact the platform directly.

  • Refund fee: A refund fee will be charged when refunding. (20% of payment amount)

The Role of PDing

In summary: We may review some pages and posts on PDing and investigate reported pages to verify potential violations of the terms and policies.

We review parts of PDing, including pages and posts, to enforce the terms and policies, including the Community Guidelines and Benefit Guidelines. We also investigate reports of potential violations. These investigations can take time and may include reviewing activities outside of PDing because activities funded through PDing may expose PDing to risk.

In most cases, we work with creators and buyers (fans) to resolve potential policy violations, allowing them to continue using PDing. However, PDing may terminate a creator or buyer (fan) account if deemed necessary to protect creators, buyers (fans), PDing, or the broader community, but this is never a decision taken lightly.

As a global company based in the United States and operating in other countries, we must comply with economic sanctions and trade restrictions enforced by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"). This means we cannot engage in transactions related to people, places, or items produced in places designated by agencies like OFAC. The sanctions policy can be found here.

Account Deletion

In summary: You can delete your account. We may terminate or disable your account at our sole discretion.

You can permanently delete your account at any time.

We may at any time, at our sole discretion, terminate or suspend your account. We also have the right, at our sole discretion, to delete any descriptions, posts, offerings, or channels. You cannot claim against us for suspending or terminating someone else's account, and you agree not to make such claims. If you make such a claim, you are responsible for the damages incurred, including attorney fees and costs. These terms remain effective even if you no longer have an account.

My Creations

In Summary: Creators retain full ownership of their work, and Patrons maintain full ownership of content purchased on PDing but grant us the right to use it as part of the PDing service.

Creators retain all ownership rights to their creations, and Patrons retain all ownership rights to the content they purchase on PDing. However, to effectively operate the PDing service, a license to this material is necessary. By providing your creation on PDing or posting in any other way, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license to use, copy, reproduce, store, translate, transmit, distribute, perform, prepare derivative works, publicly display, and exhibit your creation or any name, username, voice, or likeness provided in connection with your creation in any formats and channels known now or developed later worldwide. If your creation contains personal data, you acknowledge PDing's "legitimate interest" under the scope of this license.

While it may sound extensive, it's essential for operating the service, such as posting creations, providing services to Patrons, promotion, and enabling community functions like communication with fans. To be clear, you retain full ownership of your creation and content posted on PDing, and we do not purchase or lease them from you for our benefit. We do not attempt to appropriate your creations, use them maliciously, or generate revenue in ways other than facilitating the offerings you set.

You agree not to provide or post any creation that infringes upon others' intellectual property or ownership rights. PDing reserves the right to remove content and other materials that violate these Terms of Use, including the Community Guidelines. We respond to compliance notifications for copyright infringement claims and adopt and reasonably implement a policy of terminating the accounts of creators and Patrons who are subject to repeated compliance notifications of copyright infringement or other evidence suggesting a pattern of infringement. Information on how this policy is implemented and the process for reporting or responding to copyright infringement claims can be found here.

PDing may not use the creator's work posted on PDing in ways not authorized by the creator, such as sharing the work with others who have not purchased the offering.

Third-Party Apps and Services

In Summary: You can grant access to your PDing account to third-party apps and services, and you can grant PDing access to third-party apps and services. You can also revoke these access permissions.

When you link your PDing account to other websites, apps, or services, you may be asked to authorize those websites, apps, or services to access your PDing account information or perform actions within your account on your behalf. If you choose to take this approval action, we will grant the selected access or permissions as directed by you. For more details, see the Privacy Policy.

EULA policy

In Summary: The Application Provider or Apple as applicable (“Licensor”) reserves all rights in and to the Licensed Application not expressly granted to you under this Standard EULA.

Apps made available through the App Store are licensed, not sold, to you. Your license to each App is subject to your prior acceptance of either this Licensed Application End User License Agreement (“Standard EULA”), or a custom end user license agreement between you and the Application Provider (“Custom EULA”), if one is provided. Your license to any Apple App under this Standard EULA or Custom EULA is granted by Apple, and your license to any Third Party App under this Standard EULA or Custom EULA is granted by the Application Provider of that Third Party App. Any App that is subject to this Standard EULA is referred to herein as the “Licensed Application.” The Application Provider or Apple as applicable (“Licensor”) reserves all rights in and to the Licensed Application not expressly granted to you under this Standard EULA.

a. Scope of License: Licensor grants to you a nontransferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules. The terms of this Standard EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Licensor that replace or supplement the original Licensed Application, unless such upgrade is accompanied by a Custom EULA. Except as provided in the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Application and, if you sell your Apple Device to a third party, you must remove the Licensed Application from the Apple Device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Application).

b. Consent to Use of Data: You agree that Licensor may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

c. Termination. This Standard EULA is effective until terminated by you or Licensor. Your rights under this Standard EULA will terminate automatically if you fail to comply with any of its terms.

d. External Services. The Licensed Application may enable access to Licensor’s and/or third-party services and websites (collectively and individually, "External Services"). You agree to use the External Services at your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Standard EULA or that infringes the intellectual property rights of Licensor or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Licensor is not responsible for any such use. External Services may not be available in all languages or in your Home Country, and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. Licensor reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.

e. NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ARE PROVIDED "AS IS" AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

f. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Licensor’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

g. You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.

h. The Licensed Application and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished-rights reserved under the copyright laws of the United States.

i. Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Apple shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You and Apple agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any dispute or claim arising from this Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:

If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.

PDing's Creations

In Summary: You agree that any bug reports or suggestions for improvements you provide to PDing become entirely owned by PDing. Creators may use our copyrights or trademarks to promote their PDing page, but cannot use them for any other purposes without our permission.

Our creations are protected by copyright, trademark, patent, and trade secret laws. Examples include the text of the www.PD-ing.com site, PDing's other websites, iOS and Android apps, API, embeds, logos, codebase, etc. We grant creators a license to use logos and other copyrights or trademarks to promote their PDing page. You may not use, reproduce, distribute, perform, publicly display, or create derivative works from our creations without written permission from us.

We appreciate your help in identifying performance feedback, issues, bugs, and defects to improve the PDing product. You agree that any suggestions, feedback, ideas, bug reports, or improvement proposals you provide to us are owned entirely by us, and we can use them to improve PDing and better support the creator and PDing community.

Indemnification

In Summary: If your use or actions on PDing cause us to be involved in a lawsuit, you will be responsible for the costs.

You indemnify us against all losses and liabilities, including legal costs, arising from these Terms or related to your use of PDing. We have exclusive control over the defense of any claim to which this provision applies. If we exercise this right properly, you will assist us in such defense. Your obligation to indemnify us applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Disclaimer of Warranties

In Summary: We strive to ensure PDing works as expected, but unexpected things can happen.

PDing is provided "as is" without any kind of warranty. All warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and others, are excluded and disclaimed to the extent permitted by law. This provision for disclaiming warranties applies to our subsidiaries, affiliates, and third-party service providers.

Limitation of Liability

To the maximum extent permitted by law, our liability for damages is limited to the amount we have earned from your use of PDing. We specifically do not assume liability for losses related to unfulfilled products and benefits and losses resulting from conflicting contractual agreements. This provision applies to "us" and "our", including our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Dispute Resolution

In Summary: If you have an issue, please contact us. All disputes between you and PDing must be resolved in Delaware, under Delaware law.

If there's an issue, please contact us. Should a dispute arise regarding these Terms or your use of PDing, the dispute will be resolved in federal or state courts located in Delaware. Both parties consent to the exclusive jurisdiction and venue of courts in Delaware for the purpose of resolving any such disputes. Delaware law, excluding its conflict of laws provisions, applies to these Terms, all other PDing policies, and any disputes between you and PDing.

In Summary: These Terms are the final word on PDing's policies, and we'll let you know if there are significant changes.

These Terms and referenced policies constitute the entire agreement between you and us, superseding all previous agreements, and do not create any partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and us. If a provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary for enforcement. If it cannot be modified, it will be severed from these Terms, but all other provisions will remain in effect. Failure by one party to exercise rights under these Terms does not waive the right to exercise those or any other rights in the future.

We may occasionally change these Terms. If we make significant changes, we will notify you before they take effect. Continuing to use PDing after changes signifies your agreement to the new terms or policies.

If you subscribe to our text messages, you agree to receive recurring automated marketing and promotional texts (e.g., SMS and MMS) from us to the mobile number you provided at sign-up or any other number you designate using an automatic telephone dialing system. Consent to receive automated marketing text messages is not a condition of any purchase. Message and data rates may apply. Message frequency may vary. We reserve the right to change the frequency of messages sent at any time, so as to increase or decrease the total number of sent messages. We also reserve the right to change the short code or phone number from which messages are sent. Some mobile devices or handsets may not be supported, and messages may not be deliverable in some areas. We, our service providers, and the mobile carriers supported by the program are not liable for delayed or undelivered messages.
